Payment will be made in advance on the first day of the month, or the last business day before that day by wire transfer or direct debit. Payments made by check will incur a $30.00 per check handling fee.

TERMS AND CONDITIONS

1. The terms and conditions on this customer order are controlling, and may not be modified or expanded except in writing, signed by Dragonslayer Limited and Casino Customer.

2. If any legal action is commenced by either party against the other in connection with this agreement the prevailing party shall by entitled to its cost and expenses including reasonable attorney’s fees.

3. Casino will only use Product for lawful gaming purposes in accordance with the applicable rules, regulations, and laws of the controlling regulatory agency.

4. No warranty for merchant ability, fitness for a particular purpose or other warranty (whether implied or statutory) is made by Dragonslayer Limited.

5. Dragonslayer Limited, subject to the terms and conditions of this agreement, grants to Casino a non- exclusive license (without the right to sublicense) to use Dragonslayer Limited’s intellectual property directly related to the Product, but only for approved use of the Product during this agreement. Dragonslayer Limited’s intellectual property, as acquired by way of a prior Royalty Agreement, remains the sole and exclusive property of Dragonslayer Limited.

6. Dragonslayer Limited may not increase its prices during the first six months of this agreement.

In the event of a breach by one party, the non-breaching party may terminate this agreement by giving the breaching party fifteen (15) days written notice thereof. If the breach is not cured in such fifteen-15) day period this agreement will terminate.

After the initial term of this agreement either party may terminate this agreement by giving the non-terminating party thirty (30) days written notice.

Within 15 days following termination of agreement, all EZ BACCARAT and DRAGON7 game decals will be returned to Dragonslayer Limited. Decals that are on existing layouts will be removed/cut out from layout and returned to Dragonslayer Limited.

8. Casino shall not make any modification to the use of the Product, EZ BACCARAT, DRAGON7 or decals, nor shall it reproduce the decal images without prior written approval of Dragonslayer Limited.

9. Products and related promotional materials which use any of Dragonslayer Limited’s trademarks may only be used in accordance with Dragonslayer Limited’s permitted standards.

Casino will maintain the Product decals so that a good image is visible at all times. Dragonslayer will supply, at no additional cost, replacement decals for existing leased product when requested by Casino.

At the option of the Casino, Dragonslayer will supply, at no additional cost to Casino, decals to Casino’s layout vendor for decal application during the layout manufacturing process. Casino will warrant that its vendor will comply with Dragonslayer Limited’s decal security and control standards.

Each of Dragonslayer Limited and Casino shall protect, indemnify and hold the other party, its officers, employees, agents, and servants, harmless from and against any and all claims, including judgments, reasonable attorney’s fees, court costs, and other expenses related to a claim against the indemnified party, its officers, employees, contractors or agents, or anyone directly or indirectly employed by the indemnifying party, its officers, employees, contractors or agents, or arising as a result of a breach of any covenant, representation or warranty of the indemnifying party, in the fulfillment or performance of this agreement.

Casino will bear the risk of loss for all Products in Casino’s possession.
